Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between JobCall, Inc. (“JobCall,” “we,” “us,” or “our”) and the business, entity, or individual that accesses or uses the JobCall platform (“Customer,” “you,” or “your”). Please read them carefully. They govern your access to and use of JobCall’s websites, applications, dashboards, telephony and interactive voice response systems, application programming interfaces, and related call-answering services (collectively, the “Services”).

1. Acceptance of Terms

By accessing or using the Services, creating an account, clicking to accept these Terms, or otherwise indicating your assent, you agree to be bound by these Terms and by all applicable laws and regulations. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” and “Customer” refer to that entity. If you do not agree to these Terms, you may not access or use the Services. If a separate, signed master subscription agreement or order form exists between you and JobCall, that agreement governs and controls to the extent of any conflict with these Terms.

2. Definitions

“Caller” means any person who places, receives, or is connected to a call handled by the Services, including tenants, residents, occupants, guests, vendors, and other third parties. “Classification Output” means any triage category, emergency or urgency designation, priority level, severity score, confidence level, routing suggestion, transcription, extracted data point, summary, work-order draft, or other output generated by the Services in the course of answering, classifying, or routing a call. “Emergency Response Decision” means any decision to treat a call or situation as an emergency or non-emergency, to dispatch or decline to dispatch personnel, to escalate, prioritize, delay, route, or respond to any call, situation, maintenance issue, or safety condition, and any decision regarding the timing, manner, or recipient of any such response. “Call Data” means call audio, recordings, transcriptions, metadata, and other information relating to a Caller or a call that is submitted to or processed by the Services.

3. Description of the Services

JobCall provides an AI-powered Interactive Voice Response (IVR) and call-answering system designed for property management companies. The Services include automated call answering, AI-assisted emergency triage and classification, call routing, work-order creation, a call management dashboard, and call recording and transcription. The Services are informational and workflow-support tools only. JobCall is a technology provider. JobCall does not staff, dispatch, or perform any emergency, maintenance, security, or field-response function, does not make Emergency Response Decisions, does not manage properties, and is not a party to any lease, service call, or landlord-tenant relationship. The Services are not emergency-response, medical, legal, or professional advice, and no Classification Output constitutes a recommendation, instruction, or direction to take or refrain from taking any action with respect to any call, Caller, or situation.

4. NOT A LIFE-SAFETY OR EMERGENCY SERVICE

JobCall is not an emergency service and is not designed, intended, or warranted for use in any situation where the failure, delay, error, or unavailability of the Services could lead to death, personal injury, or property damage. The Services are not a substitute for, and must never be used in place of, 911, emergency medical services, the fire department, law enforcement, poison control, a professional emergency dispatch or answering service, a monitored alarm or life- safety system, or any other professional emergency responder. JobCall does not answer, monitor, or respond to calls on a guaranteed, real-time, or life-safety basis.

You expressly acknowledge and agree that:

  • JobCall’s AI emergency classification and triage are advisory only. They are probabilistic, may be delayed, and may misclassify a call, including producing false positives (treating a non-emergency as an emergency) and false negatives (failing to identify a genuine emergency, or misjudging its severity or urgency).
  • The Services may fail to answer, may misunderstand a Caller, may mis-transcribe or mis-route a call, may be unavailable, and may not recognize or escalate an emergency or life-safety situation.
  • You must maintain your own independent, redundant emergency-response procedures and backup communication methods that do not depend on JobCall, and you must ensure that Callers are able to reach 911 and other appropriate emergency services directly and without reliance on the Services.
  • You must not rely solely on JobCall for any emergency, life-safety, or time-sensitive situation, and you must instruct your personnel and, where appropriate, your Callers accordingly.

You are solely responsible for informing Callers and your own personnel that JobCall is not an emergency service and for directing them to contact 911 or the appropriate emergency service in any emergency.

5. Customer Is the Sole Decision-Maker for All Emergency-Response and Dispatch Decisions

You are, and at all times remain, the sole and exclusive decision-maker with respect to every Emergency Response Decision. You alone decide whether a call or situation is an emergency, whether and when to dispatch personnel, whom to dispatch, how to prioritize, escalate, route, and respond to any call, and what action, if any, to take in response to any maintenance, safety, or emergency condition. JobCall neither makes nor participates in any such decision.

You expressly acknowledge and agree that:

  • Every Emergency Response Decision, including any decision to dispatch, delay, escalate, deprioritize, or decline to respond, is made by you in your sole discretion and on your sole responsibility.
  • You will not rely on any Classification Output as the sole basis for any Emergency Response Decision, and you will apply your own independent review, procedures, and judgment to every call and situation.
  • JobCall is not responsible or liable for any Emergency Response Decision, for the consequences of any Emergency Response Decision, or for any act or omission of any Caller, tenant, occupant, vendor, responder, or third party.
  • JobCall bears no responsibility for any injury, death, property damage, loss, harm, or other consequence arising from or relating to any missed, delayed, dropped, unanswered, mis-transcribed, mis-routed, or misclassified call, or from any Emergency Response Decision, regardless of any Classification Output.

To the fullest extent permitted by law, you assume all risk associated with your Emergency Response Decisions and with your use of the Services in any emergency or safety context, and you release JobCall from any claim that an Emergency Response Decision was made or influenced by, or should have been prevented by, any Classification Output or any feature or failure of the Services.

6. Call Recording and Monitoring Consent

The Services record, monitor, and transcribe calls. Federal and state laws, including wiretapping, eavesdropping, and call-recording laws, regulate the recording and monitoring of calls, and many jurisdictions require the consent of one or all parties to a call before it may be recorded (so-called one-party and two-party or all-party consent laws).

You are solely responsible for determining which laws apply to your calls and for complying with them. You are solely responsible for providing all legally required notices and disclosures and for obtaining all consents required from Callers and from your own personnel, under all applicable federal, state, and local wiretapping, eavesdropping, call-recording, and two-party or all-party consent laws, before any call is recorded, monitored, or transcribed through the Services. You will configure and use any consent, disclosure, or notification features made available through the Services in accordance with your legal obligations. JobCall does not provide legal advice regarding call recording and makes no representation that any default configuration of the Services satisfies your notice or consent obligations. You will indemnify JobCall for any failure to provide required notices or obtain required consents, as further described in the Indemnification section below.

7. No Guarantee of Accuracy

JobCall does not warrant or guarantee that the Services will correctly answer, understand, classify, transcribe, prioritize, or route any call, or that any Classification Output will be accurate, complete, timely, or reliable. No automated call-answering or triage system, including JobCall, can correctly interpret every call or identify every emergency, and Classification Output may include errors, omissions, false positives, and false negatives. You acknowledge that the Services rely on artificial intelligence, machine learning, natural-language and speech-recognition systems, telephony networks, and third-party services, each of which has inherent limitations and may produce results that are incomplete, delayed, outdated, inaccurate, or not determinative. A classification of a call as non-urgent, or the absence of an emergency designation, is not a determination that no emergency exists, and a classification of a call as an emergency is not a determination that an emergency in fact exists. You are responsible for independently verifying any information material to your Emergency Response Decisions.

8. Service Availability

JobCall strives to maintain 24/7 availability for its call-answering and routing services. While we target high uptime, we do not guarantee that the Services will be available, uninterrupted, timely, secure, or error-free, and we are not liable for damages resulting from service interruptions, outages, delays, dropped or unanswered calls, or telephony or network failures. You acknowledge that telecommunications and internet-based services are subject to conditions outside of JobCall’s control, and you must not rely on the continuous availability of the Services for any emergency, life-safety, or time-sensitive purpose.

9. Customer Responsibilities and Acceptable Use

You agree to use the Services only for their intended purpose of managing property-related calls and maintenance requests, only for lawful purposes, and in accordance with these Terms and all applicable laws. You are responsible for maintaining accurate, current, and complete on-call contact information, escalation settings, routing rules, and emergency procedures for your properties, and for promptly updating them. You will not misuse the Services, attempt to reverse engineer or circumvent the Services, use the Services to build a competing product, submit data or place calls you are not authorized to submit or place, or use the Services in any manner that violates applicable law. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

10. Data and Recordings

Call recordings and transcriptions are stored securely and made available through the JobCall dashboard. As between you and JobCall, you retain ownership of your Call Data. You grant JobCall the rights necessary to process, store, transmit, and use Call Data to provide, maintain, and support the Services. JobCall may use de-identified, anonymized, and aggregated data derived from use of the Services to operate, improve, and develop its products and services, provided such data does not identify you or any Caller. You are responsible for the accuracy and lawfulness of the Call Data associated with your account and for handling Call Data in accordance with applicable privacy and data-protection laws.

11. Disclaimer of Warranties

THE SERVICES AND ALL CLASSIFICATION OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, JOBCALL DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, WILL ANSWER, CLASSIFY, TRANSCRIBE, OR ROUTE ANY CALL CORRECTLY, OR WILL IDENTIFY, ESCALATE, OR RESPOND TO ANY EMERGENCY OR LIFE-SAFETY SITUATION. JOBCALL IS NOT AN EMERGENCY SERVICE AND EXPRESSLY DISCLAIMS ANY WARRANTY OF FITNESS FOR ANY EMERGENCY, LIFE-SAFETY, OR TIME-CRITICAL USE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JOBCALL WILL NOT BE LIABLE FOR ANY EMERGENCY RESPONSE DECISION, FOR ANY MISSED, DELAYED, DROPPED, UNANSWERED, MIS-TRANSCRIBED, MIS-ROUTED, OR MISCLASSIFIED CALL, OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICES, ANY CLASSIFICATION OUTPUT, OR ANY ACT OR OMISSION OF ANY CALLER OR THIRD PARTY, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF JOBCALL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, JOBCALL’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE FEES PAID BY YOU TO JOBCALL FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless JobCall and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your Emergency Response Decisions, your use of the Services or any Classification Output, your emergency-response and escalation procedures, your failure to provide required call-recording notices or to obtain required call-recording or monitoring consents from Callers or your personnel under any applicable wiretapping, eavesdropping, call-recording, or two-party or all-party consent law, or your violation of any applicable law or of these Terms.

14. Termination and Suspension

Either party may terminate the Services in accordance with the applicable subscription agreement or order form. We may suspend or terminate your access to the Services immediately if you breach these Terms, misuse the Services, or create risk or legal exposure for JobCall or others. Provisions that by their nature should survive termination, including Sections 4 through 13, will survive.

15. Changes to the Services and These Terms

We may modify the Services or these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where required, provide additional notice. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

16. Governing Law and Miscellaneous

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with any applicable subscription agreement or order form, constitute the entire agreement between you and JobCall regarding the Services.
